Welcome to Clip ("Service"), operated by PT AIRA TEKNOLOGI INDONESIA ("Company", "we", "us", or "our") and accessible at clip.bikinkonten.ai.

By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and the Company.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" refers to both you individually and the organization.

2. Service Description

Clip is an AI-powered video clipping platform that:

• Processes YouTube videos submitted by users
• Extracts and analyzes video captions and transcripts
• Uses artificial intelligence (Google Gemini) to identify viral moments and trending segments
• Generates optimized short-form clips with animated captions
• Provides a real-time subtitle editor for clip customization
• Exports clips with custom caption styles on demand

The Service is offered through the following plans: Free, Starter, Pro, and Business, each with different feature sets and usage quotas measured in minutes of input video per billing cycle.

3. Eligibility

3.1 Age Requirements

You must be at least 16 years old to use the Service. If you are between 16 and 18 years of age, you must have your parent or legal guardian's consent to use the Service, and they must agree to these Terms on your behalf.

3.2 Business Users

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to accept these Terms and bind such entity. You may not share your account credentials with individuals outside your organization.

3.3 Legal Compliance

You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction. If your use of the Service is prohibited by applicable law, you are not authorized to use the Service.

4. Account and Registration

4.1 Account Creation

To access certain features of the Service, you must create an account. You may register using Google OAuth or email verification. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4.2 Account Restrictions

• You may not create multiple accounts to circumvent usage limits or restrictions
• You may not transfer your account to another person or entity without our prior written consent
• You may not use another person's account without authorization

4.3 Account Security

We reserve the right to access your account for troubleshooting, service administration, diagnostic, security, and corrective purposes. We may suspend or terminate accounts that we reasonably believe have been compromised.

5. User Content and Intellectual Property

5.1 Your Content

"User Content" refers to any content you submit, upload, or provide through the Service, including YouTube URLs, video clips, edited captions, and customized outputs.

You retain ownership of your User Content. By using the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and process your User Content solely for the purpose of providing, maintaining, and improving the Service.

5.2 Content Responsibility

You are solely responsible for your User Content and represent that:

• You have all necessary rights, licenses, and permissions to submit such content
• Your content does not infringe on any third party's intellectual property, privacy, publicity, or other rights
• Your content complies with these Terms and all applicable laws

5.3 Prohibited Content

You agree not to submit, upload, or share content that:

• Infringes on the intellectual property rights of others
• Contains sexually explicit, pornographic, or obscene material
• Contains hateful, defamatory, or discriminatory content
• Exploits, harms, or endangers minors
• Depicts extreme violence or promotes illegal activities
• Contains malware, viruses, or other harmful code
• Is deceptive, misleading, or intended to spread misinformation
• Violates any applicable law or regulation

5.4 Content Removal

We reserve the right to remove any User Content that violates these Terms, without prior notice. We are not obligated to monitor User Content but may do so at our discretion.

5.5 Our Intellectual Property

The Service, including its design, features, code, logos, trademarks, and all associated intellectual property, is owned by the Company and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our express written permission.

6. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of the Service
• Use automated tools, bots, scrapers, or spiders to access or interact with the Service
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or other users' accounts
• Share account credentials with others or create accounts on behalf of others without authorization
• Use output from the Service to develop competing products or services
• Place an unreasonable load on the Service's infrastructure
• Circumvent usage limits, quotas, or restrictions by any means
• Collect or harvest personal information of other users
• Use the Service to distribute spam, unsolicited promotional content, or mass solicitations

Violation of any of the above is grounds for immediate termination of your account and right to use the Service.

7. Subscription, Payment, and Refunds

7.1 Plans and Pricing

The Service offers multiple subscription plans with different feature sets and usage quotas. Current plans and pricing are displayed on our Pricing page. Prices are quoted in Indonesian Rupiah (IDR) unless otherwise stated.

7.2 Minutes Quota

Each plan includes a monthly allocation of minutes for input video processing. Unused minutes do not roll over to the next billing cycle. If you exceed your quota, you may upgrade to a higher plan.

7.3 Payment Processing

Payments are processed through Xendit, a third-party payment gateway. By subscribing to a paid plan, you agree to Xendit's terms of service. We do not store your payment card information directly.

7.4 Billing and Renewal

• Paid subscriptions are billed in advance on a monthly or annual basis
• Subscriptions automatically renew at the end of each billing period unless canceled
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period

7.5 Refund Policy

• All fees paid for the Service are generally non-refundable
• No refunds are provided for partial billing periods or unused minutes
• We may, at our sole discretion, provide refunds or credits in specific circumstances
• All refund requests are subject to review at our sole discretion

7.6 Price Changes

We reserve the right to change our pricing at any time. Existing subscribers will be notified of price changes in advance. Founder pricing, where applicable, is locked at the rate agreed upon at the time of enrollment.

8. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information when you use the Service. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy, in compliance with Indonesian Law No. 27 of 2022 on Personal Data Protection (UU PDP) and other applicable data protection regulations.

9. AI and Processing Disclaimers

9.1 AI-Generated Content

The Service uses artificial intelligence to analyze videos, identify trending segments, generate clips, and produce captions. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or imperfections
• We do not guarantee the quality, accuracy, appropriateness, or uniqueness of AI-generated output
• You are responsible for reviewing and validating all AI-generated content before use or distribution
• AI outputs may not always be suitable for your intended purpose

9.2 Third-Party Content

The Service processes videos from YouTube and other sources. You are responsible for ensuring that you have the right to process such content and that your use complies with the respective platform's terms of service.

9.3 No Endorsement

The generation of clips, captions, or virality scores by the Service does not constitute an endorsement, recommendation, or guarantee of performance for any content.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service ceases immediately.

10.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, without prior notice, if:

• You violate these Terms or any applicable law
• We reasonably believe your account has been compromised
• Continued provision of the Service to you is no longer commercially viable
• We are required to do so by law

10.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account data and User Content after a reasonable retention period
• Provisions that by their nature should survive termination will remain in effect, including Sections 5 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), and 14 (Governing Law)

11. Modification of Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:

• Posting the updated Terms on the Service
• Sending an email notification to your registered email address
• Displaying an in-app notification

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
• Our total aggregate liability for any claims arising from or relating to these Terms or your use of the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or IDR 500,000 (five hundred thousand Indonesian Rupiah), whichever is greater
• We are not responsible for any loss or damage caused by viruses, distributed denial-of-service attacks, or other technologically harmful material that may affect your equipment or data

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law provisions. This includes but is not limited to:

• Law No. 1 of 2024 on Electronic Information and Transactions (UU ITE)
• Law No. 27 of 2022 on Personal Data Protection (UU PDP)
• Law No. 8 of 1999 on Consumer Protection

14.2 Dispute Resolution

Any disputes arising from or relating to these Terms or your use of the Service shall be resolved as follows:

1. Amicable Resolution: The parties shall first attempt to resolve any dispute through good-faith negotiation within thirty (30) days of written notice.
2. Mediation: If negotiation fails, the parties agree to attempt mediation before pursuing other remedies.
3. Court Jurisdiction: If mediation is unsuccessful, any legal proceedings shall be brought exclusively before the courts of the Republic of Indonesia.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15.3 Waiver

No waiver of any term or condition shall be deemed a continuing waiver of such term or any other term. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, government actions, labor disputes, or infrastructure failures.
